学号 2010357770452 密级 ______________ 武汉大学本科毕业论文 中国公司治理转型研究 院（系）名 称：经济与管理学院 专 业 名 称 ：工商管理 学 生 姓 名 ： 指 导 教 师 ： 二○一六年五月 摘 要 目前，国内众多学者已从各个角度对公司治理进行了大量富有成效的研究，但这些研究往往仅关注公司治理的现状，对新形势下我国公司治理如何转型的研究并不多。本文从优化公司治理的体制、内容、过程、范围和模式，科学配置权力、责任和利益以及改善外部治理环境出发，通过对股权结构、权力机制、决策制度等的分析，提出了我国公司治理转型的具体路径与对策。希望经由此路径，使我国公司治理由低效转型到高效状态，由不合规的状态转型到趋于完善的状态，实现企业长期利益最大化，为企业利益相关者创造价值，并最终促成一个公正、透明、有效和法治的市场。 关键词：公司治理；转型；路径；对策 ABSTRACT At present, many domestic scholars have done a lot of fruitful research on corporate governance in every way , but these studies are often focus on only the status of corporate governance , the study about the transformation of Chinese corporate governance in new period is not much. In this paper,the research based in optimizing the system , content, process, scope and mode of the corporate governance , scientifically configuring authority, responsibilities and benefits and improving the external governance environment , through analysis on the ownership structure,mechanisms of power, decision-making system and some other parts , proposed the path and solutions for transformation in corporate governance. I hope , through this path , to make our corporate governance transition from the inefficient state to an efficient state, from a non-compliance state to a consummate state , maximize the long-term interests of the company , create value for stakeholders , and eventually led to a fair, transparent , efficient and legal market .
