Whereas the cooperative innovation between a university and an enterprise has been increasingly accepted, the paper first expatiate the developing status of cooperative innovation between a university and an enterprise in China. Then it analyzes motive of governmental participation based on repeated games. Furthermore, the paper analyzes stimulating manner of the government from the point of commitment games. Finally, the paper puts forward institutional arrangements of increasing stimulating intensity for the government in China. The conclusion is gained from the whole paper that governmental stimulating intensity plays an important role in cooperative innovation and it should be strengthened in the near future. All countries are exerting themselves in employing integrative global resources. So it has become a national momentous strategy to build innovative country in the framework of the national innovation system (NIS), which will heighten a country’s domestic general capability and its international status. But China hasn’t stepped into the group of innovative countries in view of China’s limited scientific innovative competence. Moreover, China is only positioned in the middle level among the forty-nine nations whose sum of GDP is the 92 percent of world total GDP, for example, China ranked in 24th in those forty-nine countries in 2004 [1].
