摘 要
自上世纪八十年代,中国恢复人寿保险业务经营,寿险业经历了突飞猛进的发展, 2010年全年寿险业实现保费收入1.0632万亿元,保险密度人均112美元,保险深度3.4%,寿险企业达到156家。中国保险业保费收入位列全球第七位,保险行业逐渐成为国民经济发展的生力军。在推动寿险业发展的背后,寿险营销人员起到了积极的推动作用。然而现行的营销员代理制度在运行中出现了一系列的问题,这些问题关系到营销员的切身利益,关系到寿险业的长期发展,关系到社会的和谐稳定。本文从保险代理理论出发,纵观世界发达国家和地区的保险代理人制度,结合我国现行的营销员代理制度,分析我国寿险营销代理制度存在的缺陷,最后提出了完善中国保险代理制度内容和实施机制的对策。

ABSTRACT
State-owned enterprises in our countrys national economy, occupies an important position in the Chinese economy is the important pillar of state-owned enterprises, the perfect governance structure of the reform of state-owned enterprises in China has been one of the problem. Since the reform and opening up, Chinas state-owned enterprises always follow the governance structure of equity supreme mode, in order to safeguard the interests of the shareholders of big country, and ignore other stakeholder interests, leading to the governance structure of the state-owned enterprises in China, there are many problems, such as unreasonable, shareholders equity structure and internal power non-existing overlapping organizations inefficient, lack of independence, the supervision board, lack of operator insider control, the incentive-restricted mechanism, etc. So this text thinks governance structure of state-owned enterprises in China should be from the former equity supreme mode stakeholder mode to change, the company law of the Peoples Republic of China on the basis of such laws, perfecting the legislation of state-owned enterprises, thus make our state-owned enterprise management structure, handle the work by the shareholders meeting or board, board of supervisors, and senior management personnel and worker stakeholder, and the relationship between the structure of the state-owned enterprise management to further improve the discussion.KEYWORDS:The state-owned enterprisegovernance、stakeholders and reform目录
