AbstractAsarapidlydevelopingandgrowingthinginthemarketeconomy,financial derivativehasbecometheshortest,fastestgrowingandlargesttradingfinancial instrumentsintheinternationalcapitalmarkethistory.Especiallyinthelasttenyears, financialderivativesOTCmarkethasarapiddevelopment,especiallyover-the- countermarket,andinternationalfinancialderivativetransactionshavedeveloped rapidly.Asaresultofvarioustypesofinvestorshugedemandofthehedgeand speculativeinthecapitalmarkets,avarietyofnewfinancialderivativescontinuedto beproduced.Themarkethasextremelyalarmingscaleandthepaceofdevelopment continuestoaccelerate.Internationalfinancialderivativetransactionsonthefinancial marketsproducedafar-reachingimplicationstothetraderstoavoidrisks,butithas provide thepossibilitytocreateagreatrisk to speculators, whichmust beobjectiveon theinternationalgovernanceoffinancialderivativetransactions.Basedoncontractual pointofview,thefinancialderivativestradingisacontract,andbecauseof“limited rationality”and “opportunistictendencies”oftheexistenceofderivativecontract transactionisnecessarilyincomplete,whichmayleadtotheriskoffinancial derivativetransactions,coupledwiththefinancialderivativetransactionsinherentin thevirtual,andleverage,high-risknature,anditsinternationaltrends,theirproblems aremorelikelytoleadtotheentirefinancialmarketandtherealeconomyhavea significantadverse impact.Fromtheinternationalfinancialderivativetransaction specificassets,transactionfrequencyanduncertaintyofthenatureofthethreemain factorsthataffecttransactionsanalysis,wecandrawtheinternationalfinancial derivativetransactionsareoccasionallyaspecifictransaction,andtheuncertaintyof thetransactionverylarge,combinedwiththeWilliamsontheoryofgovernance,we canseetheirmatchasthethird-partygovernance.Next,throughacommongovernanceofseveralthird-partyanalysis,aswellasitsfeasibilityandeffectiveness ofthecomparison,themostviablemanagementoftheinternationalfinancial derivativetransactiongovernance approach should bethe host country.Thispaperdisc
