论我国外资并购中的国家安全审查制度 （硕士论文摘要） 本文以外资并购国家安全审查制度作为研究对象，从比较法的角度对美国、德国、法国、印度等国家的相关制度进行了分析和研究。同时，本文还分析了中国现行的外资并购法律制度，在综合分析中国外资并购国家安全审查制度的不完善及这种不完善可能对中国国家安全造成潜在负面影响的基础之上，通过对四国制度的借鉴，对如何构建中国外资并购国家安全审查制度提出了建议。 本文共分三章，各章的主要内容如下： 第一章是概述部分，在此章中介绍了国家安全的概念的产生与发展。而后重点阐述了当前的外资并购对我国国家安全带来的影响。之后对我国当前的国家安全审查的立法现状进行评析，提出构建在外资并购中的国家安全审查制度是刻不容缓的这个命题。 第二章重点介绍美法德印在外商投资时的国家安全审查制度。本章拟从上述国家建立该制度的背景，所涉及的相关法律法规，审查程序等部分来介绍，以期对中国构建该制度提供借鉴。 第三章是在第二章的基础上，充分结合中国的现实情况和立法现状，借鉴美法德印等国的先进经验，从审查标准和审查程序两方面，构建中国的外资并购中的国家安全审查制度，并希望能够对执法部门的执法有所帮助，且能够有效的降低投资者的投资风险与投资成本。 【关键词】外资并购国家安全审查 国家安全 审查对象 审查标准View on National Security Review of Foreign MA （Abstract） In this paper, the system of National Security Review of foreign MA is the subject of the research. The related systems of the USA, Germany, France and India are studied and analyzed. Contemporary, the current law system of foreign MA of China is also be analyzed. On the base of general analysis of the faults of the system of National Security Review of foreign MA of China and the potential negative impact from these faults, some suggestions of the construction of the system of National Security Review of foreign MA are advanced, with the reference from systems of these four countries. This paper is divided into three chapters, each chapter are as follow: The first chapter is an overview. In the chapter, the birth and the development of the concept of National Security are introduced. After that, the influence from foreign MA to our National Security is highlighted. And then, the current legislative status of National Security Review of foreign MA of China is analyzed, which lead to the proposition that the construction of the system of National Security Review of foreign MA is of great urgency. The second chapter is an introduction of the system of National Security Review of foreign MA of the USA, Germany, France and India.
