ABSTRACTTransformationisanimportanttaskafterthefinancialcrisisforeconomicdevelopmentofthecountry,isafoundationofacceleratingthetransformationofeconomicdevelopmentpatterninChina,improvingindustrialcompetitiveness,narrowingtheurban-ruralincomegap.Cross-bordermergersandacquisitionsasanewbusinessorganization,closelyrelatedtotheeconomicgrowthandtransformation,istheeffectivewaysforenterprisetocrossfromitspreviousintroducetogoout.Inrecentyears,cross-bordermergersandacquisitionsbecamethemainformsofFDI,andisthemainforceoftheforeignenterprises’participationineconomicglobalization.Chinasinceitsreformandopeningup,especiallysincethefastdevelopmentoftheeconomyafteritsaccessiontotheWorldTradeOrganization,relylargepartonexports.Whatever,transnationalcorporationsarethebridgeforexports.Atpresent,Chinasstrategicindustriesarefacingthetophigh-endindustry,engagedinlow-endmanufacturingandprocessingdifficulties.Inorderforthedevelopmentofstrategicindustriestrulyhigh-end,wecanthroughcross-bordermergersandacquisitions,usethecomparativeadvantageofitshugemarketandlowtransactioncoststocompletethereversetakeoverindevelopedcountries,accesstoelementsofhigh-endproductionindevelopedcountries,especiallyintechnologyandhumancapital.China,theworldsmostpromisingdevelopingcountry,ithascompletelydifferentcharacteristicsinmanyWesterncountries,thesetraitsontheenterprisesystemoftransnationalmergersandacquisitionshavebothinstitutionaladvantagesdisadvantages.Chinassocialistmarketeconomysystem,makeiteasierfortheGovernmenttoformandnurturelargeenterprises,mergerandacquisitioninthecaseofownershipadvantagenotentirelyandnotobvious.Facingacomplexinternationalmergersandacquisitionsenvironment,tospeeduptheconstructionoftheChineseGovernmenttoimprovenationalperformance,provideindispensablesupportfortransnationalmergerandacquisitionofenterprises.Whatever,enterprisesshouldquicklyupgradecapacity,learningbydoing,andpursuanttoitsownadvantage,seizetheopportunity,meetthechallenge,becomeaworld-classinternationalcompany.Inthecritic
