摘  要  随着我国经济体制改革、建立现代产权制度、推进投资主体多元化股份制改革 工作的深化，改制这一话题成为我国勘察设计行业近几年以来工作的主旋律，地方 及其他勘察设计单位陆续进行了改企建制，有的正在准备，有的还在进行中，有的 已经完成。与之相比，高校勘察设计单位的改制工作则相当为迟缓，其原因何在？ 本文主要以笔者所服务的 H 大学建筑设计研究院为研究对象，对高校设计单位改企 建制问题进行探讨，希冀能为 H 院的改制工作提供借鉴参考。 文章首先通过介绍 H 院的概况，比较高校勘察设计单位与地方及其它勘察设计 单位的异同，以及对我国工程勘察设计单位改企建制历程的回顾，从而铺开对我国 高校设计单位改企建制问题进行研究的背景。 接着阐述了国外工程设计单位体制及经营模式情况，和国内勘察设计机构目前 的现状，并将两者进行了对比分析，以期提供高校设计单位改制的目标和经验。 第三部分进一步分析了 H 院内、外部环境，明确了 H 高校目前改制在管理、人 事、分配机制等方面存在着的一系列问题。 最后对改制方案的总体思路及前文分析中需要解决的主要问题及其对策进行了 探讨，对改制企业法人治理结构、股权结构的建立进行了初步的研究。 改制是一次利益的重新调整，既包括当前利益，也包括预期利益。高校改制迟 缓,很大一部分原因就在于利益各方对利益调整规则的认同程度不同。而笔者在 H 设 计研究院工作多年，更是对本单位改制的艰难深有感触。希望本文能为 H 设计研究 院建立现代企业制度、顺利改制成为适应市场经济要求的法人实体和独立的市场竞 争主体提供一些有价值的建议和参考。 关键词: 高校勘察设计企业；改制；现代企业制度 I Abstract As the deepening of the economic system reform, the establish of mordern enterprise system and the multi-investigated share system reform, the topic of system reform has now being the melody in the architectureral design field. The reform is proceeding in succession among most of the common engineering design unite. Some are just on their way, some even finished. In contrast, the academy-run civil engineering and architecture design institutes have fallen far behind the local enterprise in the course of the system reform. Why? Based on the case of H Architecture design institute, the writer discusses the system reform issue in the academy-run design unite, with the will to be a reference resource. The first part of this article includes the summary of H design institute, a comparison between the academy-run and the common design unite and also reviews the system reform progress in civil engineering and architecture design field. Then it sets forth how the civil engineering design enterprises were run in some other developed country and compares it with the domestic situations. The third part analyses the outer and inner surroundings of the case,makes it clear what should be solved during the reform. At last it discusses the steps of the reform and how to deal
