AbstractTheresolutionofthegeneralstockholders’meetingisthatstockholders,basedonthenumberoftheirstocks,exertthevotingpoweraccordingtomajorityruleatthecompany’sgeneralstockholders’meetingsoastoengenderthewillofthecompany.Itisonewaytomakethegeneralstockholders’meetingthetopwillorgananditissignificanttotheoperationofwholecompany.Thepremiseoftheresolutionrescissioninourcountry’scompanylawisthatthereareblemishesintheprocedureofthegeneralstockholders’meeting(themeetingconvokingandtheresolutionmethods)andinthecontentoftheresolution.Thereversibilitysystemofblemishingresolutionofthegeneralstockholders’meetinghasbeenestablishedinmanycountries’companylaws,sohasourcountry’snewCompanyLawinits22nditem.However,itisnecessarytohavefurtherresearchesinsuchissuesastheunderstandingoftheresolutionitself,thecausesoftheresolutionrescission,thequalificationcognizanceofthecancelledstockholders,theimplementoftherescissionrights,thejuristiceffectoftherescissionadjudication,thepreventionofmisuseoftherescissionsuit,andtheperfectionofrelevantsystems.Thewholethesisiscomposedbythepreface,themainbodyandtheclosing.Theprefacediscussesbrieflythesignificanceoftheprotectiontotheminorityandmiddle-sizedstockholdersoffthecompanylaws.Anditintroducesthestressofthisthesisbyatruecaseandthentracesoutthegeneralframeofthisthesis.Thefirstpartisaboutthegeneralityofgeneralstockholders’meetinganditsresolution.Itdiscussesthedifferencebetweenthegeneralstockholders’meetingandstockholders’meeting,togetherwiththeconcept,characteristics,authoritiesandsortsofthegeneralstockholders’meeting.Thefollowingdiscussionsarethemeanings,sorts,essenceandtheforceoftheresolutionofthegeneralstockholders’meeting.Theemphasisistheprobetotheessenceoftheresolutionofthegeneralstockholders’meetingandthisthesisbringsforward“stockrightsshouldbedemocracy”tobetheessenceoftheresolution.Thesecondpartisaboutthecausesoftheresolutionrescission.Itdiscussestherelevanttheoriesandcomparesthelegislationsoverseasanditalsocomparesthecausesoftheresolutionrescissio
