关键词：可口可乐；汇源；跨国并购；反垄断AbstractThisistheveryfirstcaseofacquisitionbannedbytheCommerceDepartmentafterinvestigating,sincetheimplementofAntitrustLawofourcountry.OnSeptember3,2008,Coca-ColaannouncedthatitwouldacquireallthesharesissuedandallchangebondsfailstoexerciseofChinesejuice-makerHuiyuanby17.92billionHongKongdollars.Accordingtothearticle2ofAntitrustLawandarticle3ofProvisionsoftheStateCouncilontheThresholdfortheReportingofUndertakingConcentrations,onSeptember9,2008,Coco-ColasubmittedantitrustapplicationmaterialsaboutpurchasingHuiyuantotheCommerceDepartment.TheCommerceDepartmentregisteredandreviewedofit.Thereafter,howeverCoco-ColasubmittedtheirmodificationplansonthebasisofthesuggestionstheCommerceDepartmentmade,theCommerceDepartmentdeemedthatthemodificationplansstillcouldnotresolvetheproblemwhichhadthenegativeinfluencecausedbythepurchasingeffectively,theCommerceDepartmentfinallydecidedtobantheacquisition.ThisarticleanalysetheissuesreflectedinthiscasefromtheperspectiveoftheantitrustLaw,andofferssomeproposalstoimproveourcountry’santitrustlawafteranalysis.Therearefourpartsofthispaper:ThefirstpartistheintroductionofthecaseCoco-ColapurchasingHuiyuanandthereviewingproceduresandfinalverdictoftheCommerceDepartment..ThispartmainlydiscussesthewholeprocessofCoco-ColapurchasingHuiyuan,thereviewingprocedureanddecisionmadebytheCommerceDepartment.ThesecondpartanalysetheantitrustbasisofprohibitingCoco-ColapurchasingHuiyuan.Analysedeeplytheantitrustbasismainlyfromthelegalgroundandfundamentosdefaccto.ThethirdpartstatethedeclarationofCommerceDepartmentabouttheirviewaboutthisacquisition:relevantmarketdefinition,transmissioneffect,acquisitionleadingtosqueezethelivingspaceofsmallandmedium-sizedenterprise,analysethelegalfocusbroughtbyCoco-ColaacquiringHuiyuancombiningwithrelatedtheoryknowledge.ThefourthpartmakesaconsiderationonChineseantitrustlawsystem.Concentratingontheproblemsreflectedbythiscase,bothonentityandproceduralaspectsofantitrustreviewinginourcountry,takingexamplebylegislationandpr
