摘 要经营绩效代表了企业营运管理的最终结果，是用于衡量企业营运成果的最佳指 标。根据决策组织理论，股东希望能够提升经营绩效，使得自身的权益增加；而由委 托代理理论可知，股东只能对委托人施加影响，无法直接进行决策；基于信息不对称 理论，内部控制质量的提高使得股东提高对公司的了解程度，从而引导委托人带领企 业提升发展能力，最终使得上市公司经营绩效有所提高。最近几年，中国经济总量在 快速增长同时，在宏观经济与金融领域出现了大量新现象、新问题和新矛盾，例如制 度发展相对落后、政府宏观调控过多等，不同股东背景下上市公司内外环境呈现出较 大的差异。因此，探讨内部控制质量对上市公司经营绩效的影响显得尤为重要。本文采用了实证研究为主、规范研究与实证研究相结合的方法。在文献回顾的基 础上，本文以决策组织理论、委托代理理论和信息不对称理论为依托，分析了不同股 东背景下内部控制质量对经营绩效的影响程度，并运用分层次的算术平均法、因子分 析法和层次分析法分别量化经营绩效，将内部控制质量根据 COSO 内部控制整体框架 将具体指标制定细化为控制环境、风险评估、控制活动、信息沟通和监督五个指标， 在借鉴现有研究成果的基础上，不仅从总体上检验了内部控制质量的高低对企业经营 绩效的影响，并且从我国制度背景出发，具体验证了不同控股股东、不同股权性质下 内部控制质量对经营绩效影响的差异。本文的主要创新点有：（1）在研究视角上以股东利益为出发点，找出内部控制质 量对公司经营绩效的影响程度，为公司完善内部控制提供依据。（2）在研究范围上， 数据的选取较为广泛，挑选了全部国内上市公司的数据，并以此为基础进行实证分析， 得出的结论较为全面、可靠。（3）从研究对象的模型设计来说，本文在计算经营绩效 时采用分层次的算术平均法，建立层次结构模型，进行权向量的统计，同时，还采用 了因子分析法和层次分析法分别进行稳健性分析，使得模型更加可靠有效。关键词：内部控制质量 经营绩效 影响 实证研究AbstractThe business performance represents results of enterprise operation management, and it is the best indicator of enterprises operating results. According to the decision-making organization theory, Shareholders hope to improve the business performance for increasing their rights and interests. However based on the principal-agent theory, shareholders can only influence clients, and they can not make decisions directly. In these years, while Chinese economy develops rapidly, there are numbers of new phenomena, new problems and new contradictions in the macro economic and the financial field, such as the relatively backward system development, the overmuch macroeconomic regulation, the government control and so on.
