摘要登记前状态自动恢复，为确保交易安全，行政程序法应规定原登记的效力宣告程序。应从受理程序把握上减少关联现象。指定管辖制度应增加对关联案件指定。政策分析对协调关联案件有积极意义。关键词：公司登记异议关联民事诉讼行政诉讼ABSTRACTTHERESEARCHONTHECORRELATIONBETWEENCIVLIANDADMINISTRATIVEISSUESCONCERINGTHEDISSENTFROMTHECOMPANYREGISTRATION——INTHEPERSPECIVEOFJUDICIALREVIEWABSTRACTThecompanyregistrationisneitheraformalexaminationnora substantiveone,butaspecificexaminationbasedonlegalrequirements.The principleofprudenceshouldbeappliedintheadministrativeprocessof companyregistrationasaminimumstandard,whichgivesrisetothe possibilityofexaminationofcorrelativecivilissues.Mattersoftruthfulness canbeexaminedintheadministrativeaction especiallytheauthenticityof the signatureandapplicationmaterials.Adefectivecompanyregistrationwhich goesthroughtheprudentialadministrativeexaminationistoberevoked throughjudicialreview.Thejudgmentforrevocationisnotaformof liability.Incivilactions,thelegalityofregistrationconcerningcivilissuescanbe examinedaccordingtocivillaw,notadministrativelaw.MattersoflegalityABSTRACTcanbeverifiedbutcannotbedeclared.Thefactswhichareverifiedina registrationcanbeexaminedasevidenceincivilactions.Civilissuesare alwaysexaminedincivilactionspriortoadministrativeactions.Acompany registrationwhichisthesubjectofanadministrativejudgmentshouldbe recognizedincivilactionswithsomeexceptions.Thedifferencebetween interiordisputesandexteriordisputesiscrucialtotheexaminationofthe legalityofaregistration.Theoriginalstatecan’tberestoredautomatically afteraregistrationisrevoked.Aspecificprocedureofdeclarationofthe validityoftheoriginalregistrationshouldbeprovidedintheadministrative procedurelaw.Acceptanceprocedureisessentialtothereductionof correlativeissues.Thedesignatedjurisdictionincivilactioncanbeusedasa methodofdealingwiththeconflictofcorrelativecases.Policyanalysisis alsoarelevantmatterincoordinatingcorrelative cases.KEYWORDS：companyregistration，dissent，correlative issues，civil action,administrativeaction目录目录引言..........................................................................1一、问题的
