国企改制中职工持股制度研究 (硕士论文摘要) 职工持股制度起源于20世纪初的美国，作为职工分享企业收益、承担资本风险的一种的产权制度安排，在激励职工、提升企业效率、缓解劳资矛盾等方面都表现出强大的优越性。 职工持股制度经过不断的发展完善，已经逐渐成为全世界企业变革的一个方向。我国的职工持股制度是在改革开放后发展起来的。经过几十年的发展，职工持股制度已经成为影响我国国企改制成功与否的重要因素，甚至关系到建立社会主义市场经济体制的战略转型。但到目前为止，我国对职工持股制度的立法性规定仅仅体现在各个省、市、自治区的地方性行政规章中。在2008年10月由国务院国资委制定的《关于规范国有企业职工持股、投资的意见》中对职工持股专门做出了规范。但该意见仍有不完善之处，造成各地对该制度在认识上和具体实践中都存在差异，不仅影响了国企改制的顺利进行，也阻碍了我国职工持股制度的长远发展。 本文从作者亲身经历的一个国企改制的案例引出职工持股的某些问题，以职工持股的概念和特征入手，通过透视职工持股制度在美国、法国、英国、日本等国家的发展状况，结合我国职工持股的发展历程和现状，对实践中存在的一些法律问题如股份资金来源、持股方式、股份流转、管理层持股等进行探讨剖析，寻找其根源并提出一些解决这些问题的相应对策和法律建议。具体来说，作者的基本观点是，鉴于职工持股制度受地域性和行业性等因素影响，在发展过程中出现了多样化和复杂性特征，应该在借鉴别国职工持股制度实践经验的基础上，结合我国特殊的国情，将职工持股制度纳入法律框架下，并形成自上而下、从中央到地方的法律规范体系。同时在构建和谐社会的背景下，要实现职工持股制度的效率和公平，还必须解决好职工持股制度内部和外部的协调关系。 [关键词] 国企改制 职工持股 公平效率 Research on the ESOP during the State-owned Enterprises Reform (Abstract) The ESOP system is originated from the America in the beginning of the 20th century, as a property rights system arrangement of employees to share the corporate income and bear the capital risk, having shown the great superiority at the motivating employees, improving enterprise efficiency, and easing of labor-management conflicts, etc. Experiencing continuous development, ESOP system has gradually become the direction of world enterprises reform. ESOP has developed after Chinas reform and opening-up. During decades of development, ESOP has become an important factor influencing whether the State-owned Enterprises reform in China succeed or not, even related to the establishment of the socialist market economic system strategies transformation.
