摘要从20世纪90年代以来,企业并购已成为现代企业快速成长的一个重要途径。然而,从并购的历史来看,成功的企业并购并未如人们所期望的那么多。并购的企业文化整合已为人们所普遍关注和认识。对于并购失败的原因,越来越多的人认识到并购后的文化整合是并购成功的关键。要成功实现并购,企业必须对两种不同的企业文化进行整合。有效的文化整合,可以促进企业管理各层面的改革和完善,使并购双方真正形成一个有机整体。企业并购后企业文化整合工作的好坏及整合绩效的大小直接影响着企业并购的成败。本论文以并购整合中冲突较大的文化因素为研究对象,在一定程度上对企业并购整合特别是并购整合中的文化整合管理具有特别的现实意义。论文在研究企业文化理论的基础上,挖掘企业文化的功能,系统地分析了并购整合中的企业文化整合的必要性。根据并购企业文化整合存在的问题,详细说明了企业文化的冲突原因与分析,同时提出了企业的文化整合模式。为企业并购中的文化整合提供了一个富有价值的应用指导。论文从一个具体的并购企业文化整合的案例出发,分析了案例中文化冲突的表现,并给出了并购企业文化整合流程操作与贯彻的原则,同时指出要做好并购企业文化整合后的管理工作。关键词:企业文化,并购,文化冲突,文化整合AbstractSince90soflastcentury,MAfmerger&acquisition)hasbeenamainapproachofrapiddevelopmentofmodementerprises.Nevertheless,tracingbackthehistoryofMA,thenumberofsuccessfulcasesisnotasmuchasexpected.The咖dyOilenterprisecultureIntegrationi11MAiswellknown.MoreandmolepeoplereachallidenticalrecognitionthattheintegrationaftermergingismainkeyfactorleadingtoSUCCESS,TorealizesuccessfulMA,theenterpriseshouldconductsintegrationfortwodifferentkindsofenterpriseculture.TheeffectiveculturalintegrationCanpromotethereformandimprovementofthemanagementofenterpriseineveryaspect,whichcausingthetwosidesofmergerandacquisitionformarealorganicwhole.ThequalityofmeworkofcombiningthecorporatecultureandthesizeoftheenterprisesMAperfu㈣ceseffecttheresukofenterprisesMA(mergerandacquisition).Thethesisisinpursuitoftheenterpriseculturethatisanmaportantfactorinthecultureconflict.ItplaysarealisticroleinthemanagementofenterprisecultureIntegration.Onthebasisoftheproblemlyingintheenterpriseculture,thethesisanalysesthecharacterandfunctionofenterprisecultureandfmdsouttheconflictreasonandanalysisofenterpriseculture.Itgivesthemodeofcultureintegrationmode砧thegametime,whichprovidesimportantinstructionfortheprocessofentorpri∞cultureintegrationinMA.Thepaperentersfromarealisticcaseandgivestherepresentofenterprisecultureconflict.ItalsogivesthemeasurestoenterprisecultureintegrationinMAandpointsoutmanagementafterenterprisecultureintegrationinMA.Keywords:EnterpriseCulture,MergersAcquisition,CultureConflict,Cult
