Recently these years, China enterprises invest directly to foreign countries very quickly. There are so many enterprises invest in developed countries like European, USA and Canada (reverse OFDI) , such as building produce factory, RD center and merger local enterprises and so on. The key motivation is find creative capital to establishing enterprises market power. So, it is important to do deep research about unit the reverse OFDI and market power building together, analysis the influence of China enterprises establishing the market power by reverse OFDI. This thesis first clarify all the literatures of correlation research from domestic and foreign countries, and second, discuss how Chinese enterprises used reverse OFDI to get the creative capital market power, and try to separate the market power into endogenous market and exogenous market, expound the formation mechanism of both, third, build up the model of enterprises market power dynamic loop, analysis the influence factor, transduction pathway and strategic choice of China enterprises reverse invest to foreign countries to improve the market power, at end, select listed companies of China Shanghai and Shenzhen A stock market as samples, exam the influence of China enterprises establishing the market power by reverse OFDI.
