2005第九屆科際整合管理研討會 May28 PP237-258 日本產業再生機構(IRCJ)—以 Kanebo 重整案為例 楊維珍 賴貞佑 助理教授 研究生 南台科技大學國際企業研究所 南台科技大學國際企業研究所 anni@.tw m9360214@.tw 摘 要 花王集團斥資超過四千億日幣,創下日本化妝品業史上最高天價,併購 Kanebo 集團旗下化妝 品事業,但雙方卻在簽約前夕驚傳破局,此併購案宣告失敗。事件發生之後引起社會各界的注目, 日本內閣府動員日本再生產業機構介入,抑注三千六百億日幣的金額,接手Kanebo 集團的經營權 且與 Kanebo 共組 KANEBO BOUTIQUE CO. 。日本產業再生機構如何在期限內重整Kanebo ,讓數 千億的赤字反黑,已成為全球產業的焦點。 Kanebo 重建案是日本產業再生機構成立以來所接手的最大宗重建案,對日本產業再生機構而 言雖是嚴苛的挑戰,但重建案若成功,對產業再生機構亦會有相當之提昇作用。本研究將以 Kanebo 企業重整案,分析日本產業再生機構在其過程中所扮演的角色,及對景氣低迷的日本而言,產業再 生機構之功能所在。 關鍵詞:日本產業再生機構、企業重整、Kanebo Abstract Japanese Kao Corporation intended to spend 400 billion yens, which would set up a new record for Japanese cosmetics industry, in taking over the cosmetics business of Japanese Kanebo Corporation. But both parties declared that this merging plan was aborted on the eve of signing the contract. This case drew everybody’s attention, and Japanese Cabinet office Mobilized the Industrial Revitalization Corporation of Japan (IRCJ )for the first time to interfere in this case and spent 360 billions yens to take over Kanebo Corporation and to establish KANEBO BOUTIQUE CO. with Kanebo Corporation. Meanwhile, how the Industrial Revitalization Corporation of Japan (IRCJ )would reconstruct Kanebo, the firm with a long history in Japan, and assist Kanebo in regaining profits became a focus of global industries.
