湖南大学毕业论文 PAGE II HUNAN UNIVERSITY 毕 业 论 文 论文题目： 公司治理结构下的盈余管理问题研究 学生姓名： 学生学号： 20071710212 专业班级： 会计2007级7班 学院名称： 工商管理学院 指导老师： 学院院长： 2011年6月1日 湖南大学毕业论文 PAGE \* MERGEFORMAT I 公司治理结构下的盈余管理问题研究 摘 要 盈余管理不同于盈余操纵、盈余造假，在现实生活中，绝大多数企业都存在过度利用盈余管理的现象。盈余管理的主体是管理当局，对象是会计信息，其结果影响了会计信息的真实性，从而对股东和潜在投资人的决策产生影响。公司治理结构的不完善将为管理当局进行盈余管理提供空间，而有效的治理结构则能制约其盈余管理行为，保证会计信息质量。基于此，本文首先阐述了盈余管理的内涵及动机，然后分析了我国公司治理结构的现状。在此基础上，着重从公司内部治理结构和外部治理环境两个方面对盈余管理产生的影响进行了分析，最后就如何完善公司治理结构以规范盈余管理行为提出了几点对策。 关键词：盈余管理；内部治理结构；外部治理结构 A Research about the Problems of Earnings Management under the Corporate Governance Structure HYPERLINK app:ds:abstract \t Abstract Earnings management is different from earnings manipulation, surplus fraud. In real life, most enterprises have excessive use surplus management phenomenon. Earnings management are the subject of management, the objects is accounting information and the result has affected the truth of accounting information, thus influence the decision of potential investors. The imperfection of corporate governance structure provide convenience for earnings management, and the effective governance structure is able to restrict this behavior and ensure the quality of accounting information. Based on this, the paper expatiates the connotation and motivation of earnings management, then it analyses the present situation of corporate governance structure in our country. On this basis, the paper emphatically analyses the influence of earning management from the interior governance and the exterior governance, and finally put forward several measures on how to perfect the corporate governance structure to standardize earnings management behavior.
