083025388李晓华 083025388李晓华 杭州银行公司治理历史变迁的考察与启示：1996．2009 摘要 有效公司治理是商业银行良性发展的基础。作为商业银行的特殊群体，近年来， 城市商业银行的发展成为国内银行业发展的一大亮点。但是，由于很多城市商业银行 都是在原城市信用社的基础上发展而来，公司治理基础相对薄弱，从而影响了其核心 竞争力的提升以及健康可持续发展。因此，吸收和借鉴国内外商业银行公司治理的成 功经验，构建和形成有效的治理机制，成为提升城市商业银行公司治理质量的关键。 作为一家有代表性的城市商业银行，杭州银行公司治理机制的演变过程也是国内 城市商业银行健全公司治理建设的缩影。本文以杭州银行公司治理的历史变迁为视 角，考察了1996-2009年期间杭州银行在完善股权结构、规范董事会建设、加强高管 层激励约束机制建设等公司治理建设三个关键因素方面的探索与实践，在此基础上提 出了完善城市商业银行公司治理机制的有益启示。主要包括：在优化股权结构方面要 合理降低国有股比重、审慎选择民营资本、积极引进战略投资者；在规范董事会建设 方面要完善董事会架构、专注董事会核心职能、清晰董事会职责边界、健全董事会约 束机制；在健全高管层运作方面完善激励约束机制。同时，进一步展望杭州银行今后 公司治理的持续完善，提出了实行公开上市、发挥公司治理各主体积极作用的建议。 关键词：公司治理城市商业银行股权结构 董事会 高级管理层 AbstractEliective Abstract Eliective corporate governance is the foundation of bank’s development．As the speclaJ case of banks，the development of city commercial banks becomes a11 advantage in domestlc banking industry．However，some city commercial bank developed舶m urban credlt cooperatlVes with poor corporate governance，which affected the improvement of core competence and sustainable development．Hence，studying other b砌(s，success如l expenence and establishing effective governance structure become the kev issue of improving the governance quality of city conlmercial ballks． As a typical city commercial bank，the corporate governance in Bank development of Hangzhou was also a representative case in domestic city commercial bal止s．1掘ng the nlstoncaJ deVelopment of corporate governance in Bank of Hangzhou as an ex锄ple．this dlssertatlon studies the experiences of improving ownership structure，rationalizin2 the board structure，and enhancing the senior management team operations in t11e Bank．It also mlse8 policy advice in the respect of how to improve the corporate of governance quality clty cointoercial banks·In the respect of modifying ownership stmctures，they mainlv include the following measures：lower the proportion of state shareholding be Drudent in seIectmg private capital，and attracting strategic investo
