摘要 当前，建筑公司多如牛毛，建筑市场供求关系严重失衡，这一方面给用户 带来了头惠，另 方面也给工程质量埋 F了隐患，要想根治这一问题，就安适 度减少企业数量，扩大企业规模，创建知名品牌。那么，如何实现这一目标呢? 企业并购将会助我们→臂之力。 本文针对并购中普遍存在的冲突问题，从企业内部各成员的利益偏好，收 购企业与目标企业的利益取向，地方政府主管部门所持态度的变化等方面入子， 对冲突问题的形成机理进行了深入的分析，建立了;中突模型，并结合实际案例 对冲突模型进行了研究，利用局势稳定性分析理论，通过排序推导的办法找出 了冲突中各方都能接受的合理局势，并将研究结论进行了实例验证，从而总结 出了解决并购中冲突问题的系统方法。 另外，结合目前建筑企业并购后出现的整合困难、效益下滑等现象，对企 业并购风险进行了研究，分析了信息不对称风险和评估风险，研究了现金流量 法和收益乘数法对资产评估的作用，引入了规模经济的概念，指出，并购前要 对规模经济进行科学地计算，确定经济规模产量，预测并购后的经营效果，同 时，对企业文化风险和法律风险进行了定性的分析，为企业并购过程中规避风 险提供了依据。 随着我国加入 WTO 组织，建筑企业将面临全球市场的竞争，要想在竞争中 立于不败之地，就要扩大自己的规模，增强竞争的实力，这也将为企业并购提 供更大的舞台，本文的研究成果将对企业并购中规避风险、解决冲突起到重要 的指导作用。 关键词:企业并购解决冲突规避风险合理局势 ABSTRACT At present ，the constrllction enterprise is innumerable ，the s口pply and demand relationship in the architectural market is seriollsly Ollt of balance.
