摘要企业制度是国有商业银行诸多问题根源，所有权安排被视为企业制度的核心和抽象概 摘要 企业制度是国有商业银行诸多问题根源，所有权安排被视为企业制度的核心和抽象概 括。本文实质就是从所有权安排角度来研究国有商业银行的企业制度。 本文研究方法包括：规范分析与实证分析相结合；理论实证和经验实证相结合；计量检 验和案例分析相结合。计量检验采用数据包络分析法(DEA)，借助于计量软件对面板数据进 行处理，并对测度结果作回归分析。案例分析用于道德风险和银行所有权安排的国际比较。 本文在交易费用和不完备契约分析范式内完成。一些观点则在小的分析框架内完成， 如委托一代理、行政控制型团队、巴泽尔公共领域、周其仁公有制企业及“贝一斯”道德风 险框架，等等。 本文创新之处有：1、应用现代企业理论系统研究国有商业银行所有权安排；2、提出国 有商业银行的政府超级企业和半市场契约经济组织性质；3、提出国有商业银行所有权安排 陷阱；4、提出所有权共享失灵一对企业价值最大化原则的质疑，产权博弈契约一对企业性 质的一个见解，以及法人产权制度是现代企业制度最大漏洞；5、避免国内文献银行样本选 取的缺陷，因素的回归分析更有解释力；6、提出国有商业银行非行政委托安排和国有商业 银行“四步走”改革战略。 关键词：国有商业银行所有权安排政府超级企业所有权安排陷阱 Enterprise Enterprise system of state-owned banks leads a good many problems．Ownership arrangement is regarded as core and abstract epitome of the enterprise system．The paper virtually studies the enterprise system of satate—owned banks employing the analyses ofthe ownership arrangement． The paper researches the ownership arrangement based on the normative and positive analyses．Positive analyses include theoretic，or logistic studies and empirical studies．Empirical studies include econometric tests and cases analyses． The paper uses econometric soflwares such as SPSS、DEAP、EKS and EWlEWS，applies data envelopment analysis(DEA)model to evaluate the relevant efficiency of state— owned banks in China．To fmd out血e key factors on the efficiency ofbanks in China． the paper build a regression model between the efficient value obtained from the “super·efficiency”DEA model and the various environmental factors． The paper also uses cases to analyse moral hazard of agents of state-owned banks，and international comparisons ofownership arrangement ofbanks． The paper researches the ownership arrangement with the paradigms of transaction cost and incomplete contract，simultaneously．In addition，the paper gives some opinions with the framework of principal—agent theory，administratively controlled team，Barzels public domain and Becker-Stigler’S crime and punishment model_ Conclusions are髂follows．First．This analysis is the first
