铭鑫实业的家族企业治理机制研究 PAGE \* MERGEFORMAT 0 本科毕业论文 （20_ _届） 铭鑫实业的家族企业治理机制研究 所在学院 商学院 专业班级 工商管理 学生姓名 学号 指导教师 职称 完成日期 年 月 日 摘要 公司治理（corporate governance）在20世纪90年代传入我国，是现代企业制度中最重要的组织框架，是对公司进行管理和控制的体系。在中国经济体制向市场经济转型过程中，建立现代企业制度已经成为中国国有企业改革的目标选择，而关于现代企业制度的内涵，大多数观点认为与现代公司治理含义相同（吴敬琏等，1993）。[1] 公司治理通过在我国10多年来的发展已经基本建立起来，政府部门也出台了《中国公司治理原则》。在公司治理结构与治理机制建设方面我国已经取得了一定的成绩，但离规范的要求还有一段距离，总体状况偏低，[2] 并且在公司治理过程中出现了几个严重的问题，如产权不清、股权结构不合理、信息披露不规范等。 【关键词】企业治理机制；家族企业；改革 Abstract 【ABSTRACT】Corporate governance (corporate governance) in the 20th century, 90 years into our country is the most important modern enterprise system, organizational framework, is the company to manage and control the system. In Chinas economic transition to a market economy, the establishment of modern enterprise system has become the target of state-owned enterprise reform options, and on the content of the modern enterprise system, most of the view that the same meaning with the modern corporate governance (Wu Jinglian, etc., 1993). [1] Corporate Governance in China by 10 years of development has been basically established, government departments have also introduced the Principles of Corporate Governance in China.
