内 容 摘 要 上市公司不同的融资结构决定不同的治理结构，而治理结构又影响着融资结构，这是近20年争论的焦点。对融资结构与公司治理相关性的研究，已成为一个前瞻性和挑战性的领域，日益引起实务界和理论界的关注，这使得本文具有一定的现实意义和理论意义。 本文首先分析了融资结构与公司治理的基本概念，提出了我国上市公司在融资结构和公司治理中存在的主要问题。然后从债务融资和股权融资的角度分析了融资结构对公司治理的影响，只有根据上市公司主要的融资方式和融资结构，构建相应的公司治理结构，才能进行有效的公司治理。本文进一步从内部治理和外部治理的角度分析了公司治理对融资结构的影响，提出应改进治理结构，进而形成较好的融资结构。最后提出了对我国上市公司的改进建议，并得出本文结论。 关键词 融资结构；公司治理；股权融资；债权融资 The Correlation Analysis of Listed Companys Financing Structure and Corporate Governance By: Hu Shuai???? Supervisor: Lecturer, Du Haiou Abstract Different financing structure of listed companies determines different governance structure, and governance structure also affects the financing structure, which is the focus of debate in nearly 20 years. The research of the relationship between financing structure and corporate governance has become a forward-looking and challenging areas which arises practitioners and theorists growing concerns, making this paper has certain practical and theoretical significance. This paper analyzes the basic concepts of financial structure and corporate governance at first and put forward the listed companies major problems of financing structure and corporate governance. And we then analyze the financing structures impact on corporate governance from the perspective of debt financing and equity financing. Building the appropriate corporate governance structure according to the main mode of financing of listed companies and financing structure is required for effective corporate governance. This paper further put forward the corporate governances impact on the financing structure from the internal governance and external governance, governance structure should be improved to form a better financing structure. Finally, we propose suggestions for improvement of listed companies and come to this conclusion.
