I I 内容摘要 内 容 摘 要 作为一种新的经济组织体，一人公司逐渐为世界各国中小投资者所青睐， 是有一定的原因的:投资者即能受到有限责任的特殊保护，又能实现一人对公司 的绝对控制，从而实现投资者自身利益的最大化。顺应大的发展趋势，我国公 司法也引入了一人公司制度，《公司法》以专节形式承认了一人公司的法律地位， 这顺应了时代发展的潮流，是对我国现行经济领域存在的大量一人公司做出的 一个立法上的回应。一人公司的存在在一定程度上对股东以及社会都是有好处 的，股东不仅可以轻易地对公司进行控制，还能再有限责任这支大伞下受到特 别的庇护，股东的利益有了最大的保证，效益优先的原则在这里得到了淋漓尽 致的体现。从其性质上看，虽然也是有限责任公司，但是，一人公司毕竟与一 般的有限责任公司不同，它已经不受传统有限责任公司架构的束缚和约束，甚 至与传统公司理论相去甚远，基于股东的唯一性，使得一人股东极有可能利用 有限责任制度的漏洞，恶意把投资风险转嫁给债权人，使之造成无法挽回的损 失。对此，本人认为，极有必要设置和完善更多的配套机制和制度，在股东和 债权人之间寻找一个切入点和平衡点，切实解决好一人公司债权人利益的保护 问题。 关键词：一人公司；债权人；利益保护； III III ABSTRACT ABSTRACT As one new economic organization, one-man company is popular among many small and medium-sized investors in the countries around the world, whose reason is that investor can receive special protection of limited liability, and subsequently can realize the absolute control of the company by one, so as to maximize the interests of the investor himself. Acclimatizing the trend of development, the Company Law in our country also introduce the one-man company system. The Company Law admits the legal status of one-man company in the form of special chapter, which conforms to the trend, and makes the legislation response to the great amount of one-man companies in the current economy in our country. To some extent, the existence of one-man company would be beneficial to both the shareholders and the society. The single shareholder can not only realize the companys absolute control, but also enjoys special protection of limited liability system, so as to realize the maximization of its own interests, which is the concrete embodiment of “Benefits First” of commercial law. In the point of the nature, although it is a limited liability company, one-man company, after all, is different from general limited liability company. It has already broke through the framework of a traditional limited liability company in many ways, showing the divergence and variation towards traditional company theory. Due to the uniqueness of one-man comp
