我国应对跨国公司在华并购的研究 PAGE - - PAGE iii - - - 摘要 20世纪90年代中期开始，跨国并购增长速度加快，不但在全球范围内形成新一轮的并购浪潮，而且成为国际直接投资的主要方式。中国融入世界经济步伐的加快将为外商的在华并购提供了更多的发展机遇，这对提高我国利用外资的水平及质量将产生积极的作用。但我们也看到外资并购并非是“免费的午餐”，它也会带来诸如行业垄断、国家安全受到威胁、国有资产流失及对我国企业发展造成严重威胁等一系列的问题。对此我们必须要保持清醒的头脑，本文分析了跨国公司在华的并购现状，为我国带来的机遇及我国面临的主要问题，并在此基础上提出了健全我国企业并购的法律体系、构建以反垄断法为核心的竞争法体系、转变政府职能和我国企业如何应对外资并购等一系列的措施建议。 关键词： 跨国公司 外资并购 机遇　问题　对策 Abstract Cross-border mergers and acquisitions have increased since the middle period of 1990s, not only forming the new wave of mergers and acquisitions in the world, but becoming the main way of foreign direct investment. As the pace of China incorporating international economic speeding up, it will offer more opportunities for development of the mergers and acquisitions in China and play a positive role of improving the level of utilizing the foreign capitals. But we should also see that cross-border mergers and acquisitions are not free lunch , it also can bring a series of problems such as state-run assets loss, a threat to national security and the local firms, etc. As to this we must keep the cool head. This article has analysed the current situation of mergering in China, the opportunity brought to our country and the problems which our country will face. It also gives the suggestions such as perfecting the legal system of mergers and the competition policy with the core of anti-monopoly law, changing government function and how should the enterprises face the challenges.
