西安工程大学本科毕业论文 PAGE I 题目：公司治理结构对财务管理的影响 摘 要 自2005年5月正式开始的股权分置改革对完善公司治理结构起到很大作用。而公司治理结构构成企业财务管理系统运行的环境基础，对财务管理有根本性的影响，本文在我国进行股权分置改革这一大背景下, 分析探讨公司治理结构对财务管理的影响问题，就公司治理结构对财务管理主体要素的决定及客体要素，如筹资、投资和利润分配等的影响进行分析论述，并以我国国有上市公司为对象分析了股权分置下的公司治理结构的不足对财务管理活动的影响，以理解进行股权分置改革的必要性和完善公司治理结构的内在逻辑，认识在其架构下财务管理的运行规律，从公司治理的高度来把握财务管理的发展变化。并提出我国上市公司在“共同治理”模式下促进财务管理系统运行之效率的建议。这对科学确定财务管理目标，优化公司理财行为，实现财务管理的良性循环，从而促进企业快速健康发展具有重要意义。 关键词：公司治理结构，财务管理，公司治理结构模式，股权分置改革，共同治理 TITLE: The Influence of Corporate Governance on Financial Management ABSTRACT The non-tradable share reform, which began since may 2005, has played a significant role on perfecting corporate governance. And The corporate governance constituted environment foundation of enterprise financial management, has the fundamental influence to financial management, This thesis analyzed and probed into financial management about corporate governance on the background of the non-tradable reform, and discourse upon how corporate governance decide the subjective elements and influence the object of enterprise financial management, for instance, enterprise financing, investment and profit distribution, and studied the influence of state-owned listed corporate governances insufficiency under the non-tradable share on financial management, which can help to understand the necessity of actualizing the non-tradable share reform and the inner logic of perfecting corporate governance , and comprehend the law of financial management in the frame of it, and grasp the development of financial management according to corporate governance. Further more, some suggestions are illustrated to raise the operation efficiency of financial management system under the model of public governance, which is very meaningful to confirm the goal of enterprise financial management, realize the benign circulation of financial management, and improve the healthy development of enterprise.
