摘 要 计算机软件开发合同纠纷是在第三次技术革命的全球化浪潮下涌现的新型 纠纷，伴随我国信息产业的高速发展，审判实务中计算机软件开发合同纠纷的数 量呈现快速增长的趋势，但是学术界对计算机软件开发合同纠纷争议焦点问题的 研究却存在着滞后和缺位。由于计算机软件开发合同标的的抽象性、复杂性，合 同双方因为合同履行产生的纠纷成为此类案件审理的重点和难点。本文以案例分 析的方法为切入点，对计算机软件开发合同纠纷的争议焦点问题进行梳理，发现 在司法审判实务中案件争议焦点集中在是否切断随附义务、是否符合验收标准、 履行期限的争议三方面。造成上述问题的主要原因有纠纷解决机制的不健全、技 术鉴定规则的模糊、验收标准的不明确、相关法律体系的不完善以及企业缺乏一 定的法律知识等。为解决上述问题，本文从程序上和实体上分别提出相应的完善 建议，以期为计算机软件开发合同纠纷争议焦点的解决提供一些思路。 关键词：计算机软件开发合同；履行纠纷；争议焦点；裁判思路 I Abstract With the rapid development of Chinas science and technology industry, the number of disputes over the execution of computer software development contracts in judicial practice has increased rapidly, but academic research on such disputes has lagged. Due to the immateriality of computer development results in the complexity of technical results as commodity exchange, how to determine whether the software developer has fulfilled the contractual obligations has become a difficult issue in the dispute decision of the software development contract. This paper will study the disputes in the performance of computer software development contract from the method of case empirical analysis. It was found that there were problems in determining performance, such as cutting off additional obligations, vague acceptance criteria, and disputes during the performance period.
