摘要 根据《公司法》第124条第1款规定，“股份有限公司设监事会，其成员不得少于三人。监事会应在其组 成人员中 选一名召集人。”监事会是指由股东大会或职工大会选举产生的独立行使监督公司业务 执行状况、财务状况和其他公司重大事务的权力的股份公司的法定必设专门监督机关。它是公司法 人治理结构的重要组成部分。但是由于监事法律地位不稳固、不能最大发挥其积极作用而使得监事 作用减弱。公司监事会制度是公司法人机关权力制衡机制的重要组成部分，是维护公司健康、稳定 进展的保证。更是与董事会达成权力制衡的重要机关。但是却因为资本的一些不可幸免的劣根性未 能由法律妥当约束而无法充分发挥职能。本文意在对监事法律地位的 问题进行研究探讨，并最终达 到集思广益、提出改善我国监事制度现状的观点或建议的目的。 关键词 ：董事会中心主义 原则性规定 任职资格 行使权力困难 考核机制 Abstract According to paragraph 1 of Article 124 of the company law, "a joint stock limited company shall have a board of supervisors, with no less than three members. The board of supervisors shall select a convener from its members. " The board of supervisors refers to the legally necessary special supervision organ of a joint stock company elected by the general meeting of shareholders or the general meeting of employees to independently exercise the power to supervise the company's business implementation, financial situation and other major affairs. It is an important part of corporate governance. However, because the legal status of supervisors is not stable and can not play its positive role, the role of supervisors is weakened.
