PAGE PAGE 22 我国民营上市公司外部融资特征研究 摘要：外部融资的资金来源广泛，方式多样，使用灵活，可以为我国民营上市公司解决融资难和资金短缺的问题。本文从上市公司外部融资理论分析入手，对我国民营上市公司的外部融资现状、特征和成因进行分析。经过研究发现我国民营上市公司的融资方式与西方“啄食”理论相悖，优先选择股权融资，再进行债务融资，债券融资利用率极小。同时，文章从外部因素和内部因素分析发现这主要与我国市场环境和公司治理结构有关，并针对融资结构的特征和成因，提出了相应的优化对策。 关键词：民营上市公司外部融资现状原因对策 External Financing Characteristics’ Research of Chinas Private Listed Companies Abstract: External financing, with its extensive fund sources, diversified mode and flexible use, may solve the problem for our private listed companies on difficult financing and funds shortage.
