InternationalPurchaseContract
ThisInternationalPurchaseContract(the“Contract”)ismade
andenteredintoon[insertdate]byandbetween[insertseller’s
name](the“Seller”),acompanylegallyorganisedandexisting
underthelawsof[insertseller’scountry],withitsaddressat
[insertseller’saddress]and[insertbuyer’sname](the“Buyer”),a
companylegallyorganisedandexistingunderthelawsof[insert
buyer’scountry],withitsaddressat[insertbuyer’saddress].
Whereas,theBuyerdesirestopurchasetheproductsfrom
theSeller,andtheSellerdesirestoselltheproductstotheBuyer,
bothpartiesagreeasfollows:
1.Products
TheSelleragreestosellanddelivertotheBuyerthe
followingproducts(the“Products”):

quality,specificationsandexpecteddeliverydate]
2.PriceandPayment
ThetotalpriceoftheProductsshallbe[inserttotalprice]
(the“Price”).TheBuyeragreestopaythePricewithin[insert

bemadein[insertcurrency]inaccordancewiththepayment
termsagreeduponbytheparties.Incaseoflatepayments,the
Buyershallbechargedwithinterestof[insertinterestrate]%per

3.Delivery
TheSellershalldelivertheProductstotheBuyer’s
designatedlocation[insertdeliverydetails,includingthedate,
time,deliverylocationanddeliverymethod].TheSellershallbe
responsibleforallpackaging,handling,shipmentandinsuranceof
theProductsuntildeliverytotheBuyer.TheBuyershallinspect
theProductsupondeliveryandnotifytheSellerwithin[insert
numberofdays]daysofreceiptifthereareanydiscrepanciesor
defects.IftheBuyerfailstonotifytheSellerwithinthespecified
time,theBuyerisdeemedtohaveaccepted
