担保型买卖合同法律问题研究

摘要：近几年，随着我国市场经济多样化的蓬勃发展，在司法实务中一种新型的担保方式应运而生：民间借贷合同的出借人与借款人订立商品房买卖合同，而合同的实现主要就是基于借款人无法按时清偿欠款的情况，该借款本息转化为购买房屋的价款。有学者把这种新型的非典型担保模式命名为担保型买卖合同。《民间借贷司法解释》于2015年正式颁布实施，而其中的第24条确立该买卖合同的担保性质，同时肯定了流担保条款的适用，但其回避了其性质与效力问题。在本文中，笔者首先阐述了课题的研究背景和意义，明确了本文要深入论述的问题，然后运用研究方法展开论述，系统地论述了担保型买卖合同的法律概念；解读了《民间借贷司法解释》第24条的规定；罗列了当前学界与实务界有关担保型买卖合同性质方面所探讨的几种主要问题，针对就担保型买卖合同的内涵以及性质等作出了自己的理解。

Abstract：Inrecentyears,withthevigorousdevelopmentofChinasmarketeconomydiversification,anewtypeofguaranteehasemergedinthejudicialpractice:thelenderoftheprivateloancontractandtheborrowerhaveenteredintoacommercialhousingsalescontract,andtherealizationofthecontractismainlybasedIftheborrowerisunabletopayoffthearrearsontime,theprincipalandinterestoftheloanwillbeconvertedintothepurchasepriceofthehouse.Somescholarsnamedthisnewtypeofatypicalguaranteemodelasaguaranteedsalescontract.TheJudicialInterpretationofPrivateLendingwasformallypromulgatedandimplementedin2015,andArticle24ofitestablishestheguaranteenatureofthesalescontractandaffirmstheapplicationoftheexileclause,butitavoidsitsnatureandeffectiveness.Inthisarticle,theauthorfirstelaboratestheresearchbackgroundandsignificanceofthesubject,clarifiestheissuestobediscussedindepthinthisarticle,andthenusesresearchmethodstoexpandthediscussionandsystematicallydiscussesthelegalconceptoftheguaranteesalecontract;Article24;listsseveralmajorissuescurrentlydiscussedintheacademicandpracticalcirclesregardingthenatureofsecuredsalescontracts,andmakesitsownunderstandingoftheconnotationandnatureofsecuredsalescontracts.
