TechnicalServiceContract

ThisTechnicalServiceContract(“Contract”)isenteredintoon[Date]byandbetween[ClientName],withitsprincipalplaceofbusinesslocatedat[Address](“Client”),and[ServiceProviderName],withitsprincipalplaceofbusinesslocatedat[Address](“ServiceProvider”).

1.ScopeofServices:

ServiceProvidershallprovidetechnicalservicestoClientinaccordancewiththetermsandconditionsofthisContract.Thetechnicalservicestobeprovidedshallincludebutnotbelimitedto[listofservices].

2.Payment:

ClientagreestopayServiceProviderafeeforthetechnicalservicestobeprovidedunderthisContract.Thefeeshallbe[Amount]per[TimePeriod]andshallbepayableona[Monthly/Quarterly/Annual]basis.

3.Term:

ThisContractshallcommenceon[Date]andshallcontinueforaperiodof[NumberofMonths/Years].ThisContractmaybeterminatedbyeitherpartyupon[NumberofDays/Months]writtennoticetotheotherparty.

4.Confidentiality:

BothpartiesagreetokeepconfidentialallinformationandmaterialsdisclosedduringtheperformanceofthisContract.Thisincludesbutisnotlimitedtoclientdata,tradesecrets,softwarecode,andotherproprietaryinformation.

5.Warranties:

ServiceProviderwarrantsthattheservicesprovidedunderthisContractshallbeperformedinaprofessionalandworkmanlikemanner.ClientwarrantsthatithasthenecessaryrightsandpermissionstoprovideServiceProviderwithallnecessaryaccessandinformationtoperformtheservices.

6.LimitationofLiability:

Innoeventshalleitherpartybeliabletotheotherforanyindirect,incidental,consequential,orpunitivedamagesarisingoutoforinconnectionwiththisContract.

7.GoverningLaw:

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[State/Country].
