GUARANTEEAGREEMENT

ThisGuaranteeAgreement(theAgreement)ismadeandenteredintoasofthe__________dayof__________,20__,byandbetween__________(theGuarantor),witharegisteredaddressat__________,and__________(theBeneficiary),witharegisteredaddressat__________.

WHEREAS,theBeneficiaryisenteringintoacertainagreementwith__________(thePrincipal),thetermsofwhicharesetforthinthedocumentdated__________,20__(thePrincipalAgreement);

WHEREAS,theGuarantorwishestoguaranteetheperformanceoftheobligationsofthePrincipalunderthePrincipalAgreement;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.GuaranteeofObligations.TheGuarantorherebyguaranteesthepunctualperformanceandobservanceofalltheterms,covenants,andconditionstobekeptandperformedbythePrincipalunderthePrincipalAgreement(theGuaranteedObligations).

2.NatureofGuarantee.TheguaranteeprovidedbytheGuarantorisacontinuingguaranteeandshallbeanabsolute,unconditional,andirrevocableprimaryobligationtopay,perform,orfulfilltheGuaranteedObligations.

3.RightofSet-off.TheBeneficiaryshallhavetherighttoset-offanyamountsowedbytheBeneficiarytothePrincipalagainstanyamountspayablebytheGuarantorunderthisAgreement.

4.Waiver.TheGuarantorwaivespresentment,demand,protest,andnoticeofdishonor.

5.Continuation.TheobligationsoftheGuarantorunderthisAgreementshallcontinueuntiltheGuaranteedObligationshavebeenfullyperformed,satisfied,anddischarged.

6.Subrogation.UponpaymentbytheGuarantorofanyamountowedbythePrincipal,theGuarantorshallbesubrogatedtoallrightsoftheBeneficiaryagainstthePrincipaltotheextentofsuchpayment.
