RECITALS
WHEREAS,thePartieshereto(theParties)intendtoenterintothisAgreementforthepurposeofactingasintermediariesinthetransactiondescribedbelow(theTransaction);
NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesagreeasfollows:
ARTICLE1:DEFINITIONS
1.1.Terms.ThetermssetforthinthisAgreementshallhavethemeaningsascribedtothemasfollows:
(a)AgreementmeansthisIntermediaryAgreement,includingallexhibitsheretoandallamendments,modifications,supplementsandwaiversheretoforeorhereaftermade,enteredintooragreedtotheParties;
(b)Partymeanseither[甲方名称]or[乙方名称],asthecontextrequires;and
(c)Transactionmeansthe[交易具体描述]between[甲方名称]and[乙方名称],asfurtherdescribedinArticle2below.
1.2.AdditionalDefinitions.UnlessotherwisedefinedinthisAgreement,termsusedhereinshallhavethemeaningsascribedtotheminaccordancewiththeordinarymeaningthereofinthecontextofthisAgreement.
ARTICLE2:APPOINTMENTANDDESCRIPTIONOFTRANSACTION
2.1.AppointmentofIntermediary.[乙方名称]ishereappointedastheexclusiveintermediaryinconnectionwiththeTransaction,and[甲方名称]agreestonegotiateandenterintotheTransactionwith[乙方名称]actinginsuchcapacity.
2.2.DescriptionofTransaction.TheTransactioninvolves[交易具体描述].ThePartiesagreetonegotiateandenterintotheTransactiononthetermsandconditionssetforthinthisAgreement.
ARTICLE3:OBLIGATIONSOFTHEPARTIES
