SalesContract
ThisSalesContract(hereinafterreferredtoastheContract)ismadeon[Date]between[SellerName](hereinafterreferredtoasSeller)and[BuyerName](hereinafterreferredtoasBuyer).
I.ContractingParties

TheSellerandBuyershallbecollectivelyreferredtoasthePartiesandindividuallyasaParty.
II.ProductsandSpecifications
TheSelleragreestosellandtheBuyeragreestopurchasethefollowingproductswiththeirspecificationsasstatedinAnnexAattachedtothisContract.
III.PriceandPayment
ThetotalpricefortheproductsstatedinAnnexAshallbeagreeduponasUSD____only.Thetermsofpaymentshallbeasfollows:____%ofthetotalamountuponsigningofthisContract,____%upondeliveryoftheproducts,andtheremaining____%aftersuccessfulcompletionoftheproductinspectionperiod.
IV.DeliveryandShipping
TheSellershallensuretimelydeliveryoftheproductstotheportspecifiedbytheBuyer.Shippingdetails,includingdate,port,andmodeoftransportation,shallbestatedinAnnexB.AnydelayindeliverybeyondtheagreedtimeframeshallbesubjecttopenaltiesasstipulatedinthisContract.
V.QualityAssuranceandInspection
TheSellerguaranteesthequalityoftheproductsasperthespecificationsstatedinAnnexA.Theproductsshallbesubjecttoinspectionatvariousstagesofproductionandpriortoshipment.Ifanydefectsarefoundduringinspection,theSellershallreplaceorrepairthedefectiveproductsatitscost.
VI.RiskandOwnershipTransfer
RiskoflossordamagetotheproductsshallpasstotheBuyerupondeliverytotheportspecifiedinAnnexB.OwnershipoftheproductsshallbetransferredtotheBuyeruponfullpaymentbytheBuyer.
VII.WarrantyandAfter-SalesService
