CopperOrePurchaseContract

ThisCopperOrePurchaseContract(hereinafterreferredtoastheContract)ismadeandenteredintobyandbetweenPartyAandPartyB,inaccordancewiththelawsofthePeoplesRepublicofChina,withaviewtoregulatingthepurchaseandsaleofcopperorebetweenthetwopartiesandprotectingthelegitimaterightsandinterestsofbothparties.

Article1:Definitions

1.1CopperOrereferstothenaturalcopperorecontainedinthemine,whichistobepurchasedandsoldbythetwoparties.

1.2MinereferstothemineownedbyPartyB,fromwhichcopperoreistobeextractedandsold.

1.3PurchasePricereferstothepriceagreeduponbythetwopartiesforthepurchaseofcopperore,whichshallbepaidbyPartyAtoPartyB.

Article2:ObjectofPurchaseandSale

2.1PartyAagreestopurchaseandPartyBagreestosellthecopperoreextractedfromthemine,inaccordancewiththetermsandconditionsofthisContract.

2.2ThecopperoretobepurchasedandsoldshallmeetthequalitystandardsspecifiedinArticle4ofthisContract.

Article3:QuantityandVolume

3.1Thequantityandvolumeofcopperoretobepurchasedandsoldshallbedeterminedbythetwopartiesthroughfriendlyconsultation,andshallbespecifiedinwritinginArticle5ofthisContract.

Article4:QualityStandards

4.1Thecopperoretobepurchasedandsoldshallmeetthefollowingqualitystandards:

(1)ThecoppercontentshallnotbelessthanthestandardspecifiedinArticle5ofthisContract;

(2)TheotherchemicalandphysicalpropertiesshallalsomeetthestandardsspecifiedinArticle5ofthisContract.

Article5:PurchasePriceandPaymentTerms

5.1Thepurchasepriceforthecopperoretobepurchasedandsoldshallbedeterminedbythetwopartiesthroughfriendlyconsultation,andshallbespecifiedinwritinginArticle5ofthisContract.
