Introduction:
TheResearchInstituteandtheExpertEnterprise,bothpartiestothisAgreement,wishtoestablishaformalrelationshipofcollaborationandconsultationinthefieldofscientificandtechnologicalresearchanddevelopment.ThepurposeofthisAgreementistodefinethetermsandconditionsunderwhichthepartieswillworktogethertoachievetheirrespectivegoalsandobjectives.
ScopeoftheAgreement:
1.ResearchandDevelopment:TheResearchInstituteandtheExpertEnterprisewillcollaborateonprojectsrelatedtoscientificandtechnologicalresearchanddevelopment.Thespecificprojectstobeworkedonwillbeidentifiedandagreeduponbybothpartiesinwriting.
2.ConsultationandAdvice:TheExpertEnterprisewillprovideconsultationandadvicetotheResearchInstituteonmattersrelatedtoscientificandtechnologicalresearchanddevelopment.Thisadvicemayinclude,butisnotlimitedto,projectplanning,strategydevelopment,andtechnicalissues.
3.ProjectManagementandCoordination:Bothpartieswillworktogethertomanageandcoordinatetheprojectsagreeduponinwriting.Thiswillinclude,butisnotlimitedto,settingprojectdeadlines,monitoringprogress,andaddressinganyissuesthatmayariseduringthecourseoftheproject.
4.ConfidentialityandNon-Disclosure:BothpartiesagreetomaintaintheconfidentialityofanyinformationsharedbetweenthemduringthecourseofthisAgreement.Neitherpartymaydiscloseanyconfidentialinformationtothirdpartieswithoutthewrittenconsentoftheotherparty.
