Article1:GoodsandServices

1.1PurchaseandSale.PartyBagreestopurchasefromPartyA,andPartyAagreestoselltoPartyB,thegoodsandservicesdescribedinExhibitAattachedhereto(theGoodsandServices).

1.2Delivery.PartyAshalldelivertheGoodsandServicestoPartyBatthelocationspecifiedinExhibitBattachedhereto(theDeliveryLocation)onorbeforethedeliverydatespecifiedinExhibitCattachedhereto(theDeliveryDate).

1.3Warranty.PartyAwarrantsthattheGoodsandServicesconformtothespecificationssetforthinExhibitDattachedheretoandarefreefromdefectsinmaterialsandworkmanship.

Article2:PriceandPaymentTerms

2.1Price.ThepurchasepricefortheGoodsandServicesshallbeassetforthinExhibitEattachedhereto(thePurchasePrice).

2.2PaymentTerms.PartyBshallmakepaymentfortheGoodsandServiceswiretransfertoanaccountdesignatedPartyAinaccordancewiththepaymentinstructionssetforthinExhibitFattachedhereto(thePaymentInstructions).

3.1Delivery.PartyAshalldelivertheGoodsandServicestotheDeliveryLocationonorbeforetheDeliveryDate.
