ThisOEMManufacturingContract(hereinafterreferredtoastheContract)isenteredintobyandbetweenthefollowingparties:

WHEREAS,PartyAisengagedinthemanufacturingof[ProductDescription],andPartyBisengagedinthedistributionandsaleofthesaidproduct;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.SubjectMatteroftheContract

PartyAshallmanufactureandsupply[ProductDescription]forPartyB,inaccordancewiththespecifications,quantity,quality,anddeliveryschedulesetforthintheattachedProductSpecificationsandScheduleofDelivery(hereinafterreferredtoastheAttachmentA).

2.QualityStandards

ThequalityoftheproductsmanufacturedbyPartyAshallcomplywiththerelevantnationalandindustrystandards,aswellasthequalityrequirementsspecifiedinAttachmentA.PartyAshallberesponsibleforensuringthequalityoftheproductsthroughoutthemanufacturingprocess.

3.QuantityandDelivery

PartyAshalldelivertheproductstoPartyBinaccordancewiththequantityanddeliveryschedulesetforthinAttachmentA.AnydelayindeliveryshallbesubjecttotheprovisionsofArticle5ofthisContract.

4.PriceandPaymentTerms

Thepriceoftheproductsshallbe[Price]perunit,asspecifiedinAttachmentA.PaymentshallbemadebyPartyBtoPartyAwithin[PaymentPeriod]afterthereceiptoftheinvoiceissuedbyPartyA.Thepaymentmethodshallbe[PaymentMethod],asspecifiedinAttachmentA.
