1.ScopeofContract:
Thiscontractoutlinestheintellectualpropertyrightsrelatedtotheworkspecifiedwithinthecontextofacollaborativeprojectbetweenbothparties.
2.IntellectualPropertyRights(IPR):
Thepartiesagreethatallintellectualpropertyrightsrelatedtotheproject,includingbutnotlimitedtopatents,trademarks,copyrights,designs,tradesecrets,andanyothersimilarrights,shallbeownedbythepartycreatingtheintellectualpropertyorasotherwiseagreedinthiscontract.
3.WorkDeliverables:
Company/IndividualAshalldeliverallworkproductsrelatedtotheprojectandshallholdtherespectiveintellectualpropertyrightsassociatedwiththoseworkproducts.Company/IndividualBshallhavetherighttousethoseworkproductssolelyforthepurposeoftheproject.
4.Confidentiality:
Bothpartiesagreetomaintainconfidentialityofallinformationdisclosedduringthetermofthiscontract,unlessotherwisemutuallyagreedorrequiredbylaw.
5.UseandLicense:
Anyuseorlicenseofintellectualpropertybyonepartytoanotherpartyshallbesubjecttospecifictermsandconditionsasmutuallyagreeduponandclearlystatedinthiscontract.Thismayincluderightstocopy,distribute,modify,orcreatederivativeworks.
6.RightsandObligations:
Eachpartyshallhavetherightsandobligationsasdefinedinthiscontractpertainingtotheownership,use,transfer,enforcement,andprotectionofintellectualpropertyrightsrelatedtotheproject.
7.OwnershipandTransfer:
Theownershipofintellectualpropertyrightsrelatedtotheprojectshallbeclearlydefinedinthiscontract.Ifthereisaneedfortransferofowne
