InternationalCooperationProjectConfidentialityAgreement

ThisAgreementismadeandenteredintoon[Date],betweenthefollowingparties:

WHEREAS,PartyAandPartyBdesiretoenterintoaConfidentialityAgreement(the“Agreement”)withrespecttocertaininformationthatmaybeexchangedbetweenthepartiesinconnectionwiththe[ProjectNameorDescription].

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesagreeasfollows:

1.ConfidentialInformation

ForthepurposesofthisAgreement,“ConfidentialInformation”shallmeananyandallinformation,whetherwritten,oral,orinanyotherform,thatisdisclosedeitherpartytotheother,eitherdirectlyorindirectly,inconnectionwiththe[ProjectNameorDescription],andwhichismarkedasconfidentialoridentifiedasConfidentialInformationeitheratthetimeofdisclosureorthereafter,orwhichareasonablepersonwouldunderstandtobeconfidentialgiventhenatureoftheinformationandthecircumstancesofitsdisclosure.

2.ObligationsoftheParties

a.PartyA:[FullName/CompanyName]agreestoholdinstrictconfidenceandnottouseordisclosetoanythirdpartyanyConfidentialInformationofPartyBexceptaspermittedthisAgreement.

b.PartyB:[FullName/CompanyName]agreestoholdinstrictconfidenceandnottouseordisclosetoanythirdpartyanyConfidentialInformationofPartyAexceptaspermittedthisAgreement.

3.PermittedUseofConfidentialInformation

ConfidentialInformationmaybeusedthereceivingpartyonlyforthepurposeof[describethepermitteduse,e.g.,evaluating,implementing,ordiscussingthe[ProjectNameorDescription]].

4.DurationofConfidentiality

TheobligationsofconfidentialityunderthisAgreementshallremainineffectforaperiodof[d
