1.Definitions（定义）

ForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow：

1.1.Technology（技术）：Allproprietaryknowledge,technicalinformation,data,know-how,designs,specifications,methods,techniques,andmaterials,includingbutnotlimitedtopatents,trademarks,copyrights,tradesecrets,software,andotherintellectualpropertyrights,ownedorcontrolledbytheLicensorandspecifiedinExhibitA.

1.2.LicensingRights（许可权利）：Thenon-exclusive,non-transferablerightgrantedtotheLicenseetouse,reproduce,andcommercializetheTechnologyinaccordancewiththetermsofthisAgreement.

1.3.Term（期限）：TheperiodduringwhichthisAgreementisineffect,asspecifiedinSection3.

1.4.Territory（地域）：ThegeographicareainwhichtheLicenseeisauthorizedtouseandcommercializetheTechnology,asspecifiedinSection2.

1.5.Consideration（对价）：ThecompensationpaidbytheLicenseetotheLicensorinreturnforthegrantoftheLicensingRights,asspecifiedinSection4.

2.GrantofLicensingRights（许可权的授予）

2.1.TheLicensorherebygrantstotheLicenseetherighttousetheTechnologywithintheTerritoryandforthepurposesspecifiedinExhibitA.

2.2.TheLicensingRightsarenon-exclusive,meaningtheLicensormaygrantsimilarrightstootherthirdpartieswithintheTerritory.

2.3.TheLicensingRightsarenon-transferable,exceptwiththepriorwrittenconsentoftheLicensor.

3.TermandTermination（期限和终止）
