ThisContract(Agreement)isenteredintoasof[Date](EffectiveDate),byandbetween[YourCompanyName](Company)and[Client/CounterpartyName](Client),collectivelyreferredtoastheParties.

1.Recitals

WHEREAS,theCompanyisengagedinthebusinessof[describethenatureoftheCompanysbusiness];and

WHEREAS,theClientdesirestoengagetheservicesoftheCompanyinconnectionwith[describethenatureoftheservicestobeprovided];and

WHEREAS,thePartieswishtosetforththetermsandconditionsunderwhichtheCompanywillprovidetheservicestotheClient.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:

2.ScopeofServices

TheCompanyagreestoprovidethefollowingservicestotheClient(Services):

a.[Specificservicestobeprovided,includinganydeliverables,tasks,orobligations]

b.TheServicesshallbeperformedinaprofessionalandworkmanlikemanner,inaccordancewiththehigheststandardsoftheindustry.

c.TheCompanyshallusereasonableeffortstocompletetheServiceswithintheagreed-upontimeframe.

3.TermandTermination

a.ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof[insertduration,e.g.,oneyear](InitialTerm).

b.UpontheexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforadditionalperiodsof[insertduration,e.g.,oneyear]unlesseitherPartyprovideswrittennoticeofterminationatleast[insertnoticeperiod,e.g.,30days]priortotheexpirationoftheInitialTermoranyrenewalterm.

c.EitherPartymayterminatethisAgreementforcauseuponwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreem
