    ThisContract(hereinafterreferredtoastheContractorAgreement)isenteredintoasof(theEffectiveDate)byandbetween(hereinafterreferredtoasPartyAor甲方)and(hereinafterreferredtoasPartyBor乙方),collectivelyreferredtoastheParties.

    ThePartiesagreeasfollows:

    PartyA,beinginterestedinproviding(hereinafterreferredtoastheServices)toPartyB,andPartyB,beingdesirousofavailingthesaidServicesfromPartyA,haveagreedtoenterintothisContracttogovernthetermsandconditionsoftheprovisionandreceiptoftheServices.

    DefinitionsandInterpretations定义与解释

    ForthepurposesofthisContract,thefollowingtermsshallhavethemeaningsassignedtothem:

    ServicesshallmeantheproductsoractivitiestobeprovidedbyPartyAtoPartyBasdetailedinExhibitA,whichformsanintegralpartofthisContract.

    PaymentTermsshallrefertotheconditionsunderwhichPartyBisobligatedtoremitpaymenttoPartyA,asoutlinedinSection4hereof.

    ConfidentialInformationshallincludeanyandallproprietaryorsensitiveinformationdisclosedbyonePartytotheother,whetherorally,inwriting,orotherwise,inconnectionwiththisContract.

    TerminationshallrefertothecancellationofthisContractinaccordancewiththeprovisionssetforthinSection7hereof.

    IndemnificationshallrefertothecompensationorprotectionprovidedbyonePartytotheotheragainstlosses,damages,orclaimsarisingoutoftheperformanceorbreachofthisContract.

    EachPartyacknowledgesthatthedefinitionsprovidedhereinareessentialtotheunderstandingandexecutionofthisContractandshallbeconstruedinamannerthatreflectsthemutualintentoftheParties.
