1、管辖权条款（JurisdictionClause）：在合同里出现的管辖条款便于出现纠纷时卖方提出诉请并进行协商。

参考条款：Alldisputesarisingfromtheexecutionof,orInconnectionwiththiscontract,shallbesettledamicablythroughfriendlynegotiation.Incasenosettlementcanbereachedthroughnegotiation,thecaseshallthenbesubmittedtotheForeignEconomicandTradeArbitrationCommissionofthePromotionofinternationalTrade,Beijing,forarbitrationinaccordancewithitsrulesofprocedure.Thearbitrationawardisfinalandblindinguponbothparties.

2、物权保留条款（RetentionofTitle ）：这一条款的目的在于卖方在获得货款之前保有对货物的所有权。

参考条款：Theownershipofthegoodsshallnotpasstocustomerandfulllegalandbeneficialownershipofthegoodsshallremainwiththesellerunlessanduntilsellerhasreceivedthepaymentinfullforthegoods.

3、异议期（Complaintperiod）：参考条款：Thebuyermustexaminethegoods,orcausethemtobeexamined,withinasshortaperiodasispracticableinthecircumstances.Thebuyerlosestherighttorelyonalackofconformitywithinareasonabletimeafterhehasdiscovereditoroughttohavediscoveredit.

4、约定第三方质检机构（Inspectionreportbywhom?）：第三方机构出具的检验报告是出现质量纠纷时的重要证据。

6、责任限额（Limitliability）：
