Parties

ThisServiceAgreement(“Agreement”)isenteredintoandeffectiveasof[Date],byandbetween:

[ClientCompanyName],withitsregisteredaddressat[ClientAddress](“Client”),representing[Client’sAffiliates/Departmentsinvolved,e.g.,CityBureauofInformationTechnology],and

[ServiceProviderCompanyName],withitsregisteredaddressat[ServiceProviderAddress](“ServiceProvider”).

Whereas,ClientdesirestoengageServiceProvidertoprovideSmartCitySolutionServices(asdefinedinthisAgreement)relatedto[BriefDescriptionoftheSmartCityProject,e.g.,theconstructionofacitymanagementandoperationplatform],andServiceProviderdesirestoprovidesuchSmartCitySolutionServicestoClient.

DefinitionsandInterpretations

1.1“Agreement”meansthisServiceAgreement,includingallexhibits,attachments,andamendmentsthereto.

1.2“Client”means[ClientCompanyName]anditsaffiliates,asdefinedinthisAgreement.

1.3“ServiceProvider”means[ServiceProviderCompanyName]anditsaffiliates,asdefinedinthisAgreement.

1.4“SmartCitySolutionServices”meanstheservicestobeprovidedbyServiceProvidertoClient,includingbutnotlimitedtodemandanalysis,planning,solutiondesign,platform/systemdevelopment,hardwaredeployment,systemintegration,dataservices,testing,personneltraining,operationandmaintenance,asfurtherdetailedinSection3.

1.5“ProjectScope”meansthespecificscopeofSmartCitySolutionServicestobeprovided,asdetailedinSection3andanyagreed-uponamendments.

1.6“Delivery成果”meansthetangibleandintangibleoutputsproducedbyServiceProvideraspartoftheSmartCitySolutionServices,includingsoftware,hardware,documentation,data,reports,andtrainingmaterials.

1.7“AcceptanceCriteria”meansthestandardsandmetricsagreeduponbybothpartiesagainstwhichtheDelivery成果willbeaccepted,asspecifiedinSection5.4.
