Parties

ThisServiceAgreement(theAgreement)isenteredintoandeffectiveasof[StartDate],2025(theEffectiveDate),byandbetween[ProviderName](theProvider),havingitsprincipalplaceofbusinessat[ProviderAddress],and[ClientName](theClient),havingitsprincipalplaceofbusinessat[ClientAddress].EachPartyisreferredtoasaPartyandcollectivelyastheParties.

DefinitionsandInterpretations

InthisAgreement,unlessthecontextotherwiserequires:

1.Providermeans[ProviderName]anditsaffiliates,employees,agents,andcontractorsinvolvedintheperformanceofthisAgreement.

2.Clientmeans[ClientName]anditsaffiliates,employees,agents,andcontractorsinvolvedintheperformanceofthisAgreement.

3.Servicemeanstheprovisionof中医中药调剂服务asdescribedinthisAgreement.

4.Prescriptionmeansanywrittenorelectronicorderfor中医中药调剂servicespreparedbyaqualifiedlicensedpractitionerofTraditionalChineseMedicine.

5.QualifiedPractitionermeansalicensedhealthcareprofessionalauthorizedbylawtoprescribe中医中药.

6.ServiceStandardsmeanthespecificqualityandperformancecriteriasetforthinSection4ofthisAgreement.

7.ConfidentialInformationmeansanynon-publicinformation,whethertangibleorintangible,disclosedbyaPartytotheotherParty,includingbutnotlimitedtopatienthealthinformation,businessstrategies,technicaldata,andfinancialinformation.

8.Agreementmeansthisentiredocument,includingallreferencedattachmentsandexhibits,asamendedormodifiedinwritingandsignedbybothParties.

9.GoverningLawmeansthelawsofthePeoplesRepublicofChinawithoutregardtoitsconflictoflawprinciples.

10.Daymeansanyday,whetherabusinessdayornot.
