ConfidentialityAgreement

ThisConfidentialityAgreement(Agreement)ismadeandenteredintoasof[Date],byandbetween[CompanyName],a[CompanyType]incorporatedunderthelawsof[Jurisdiction],withitsprincipalplaceofbusinessat[CompanyAddress](Company),and[Individual/OtherPartyName],anindividualorentity(Party),collectivelyreferredtoastheParties.

WHEREAS,theCompanyhasconfidentialinformationthatisproprietarytotheCompanyanditsclients,includingbutnotlimitedto:

-Technical,commercial,financial,andbusinessinformation;

-Tradesecrets,know-how,processes,procedures,methods,formulas,andcompilations;

-InformationabouttheCompanysbusiness,operations,strategies,andfutureplans;

-InformationabouttheCompanysclients,customers,andsuppliers;

-AnyotherinformationthatisnotgenerallyknowntothepublicandthattheCompanyhasidentifiedasconfidential.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thePartiesagreeasfollows:

1.ConfidentialInformation

ForthepurposesofthisAgreement,ConfidentialInformationshallmeananyandallinformationdisclosedbyeitherPartytotheother,eitherdirectlyorindirectly,inwriting,orally,orbyinspectionoftangibleobjects,thatisdesignatedasconfidentialorthatreasonablyshouldbeunderstoodtobeconfidentialgiventhenatureoftheinformationandthecircumstancesofdisclosure.

2.ObligationofConfidentiality

ThereceivingPartyagreestoholdtheConfidentialInformationinstrictconfidenceandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.ThereceivingPartyshallonlyusetheConfidentialInformationforthepurposeoffulfillingitsobligationsunderthisAgreementandnotforanyotherpurpose.

3.ExclusionsfromConfidentialInformation

TheobligationsofconfidentialityunderthisAgreementdonotextendtoinformationthat:
