研 究 报 告 (Research Paper) 外资并购中国饮料行业所引起的 经济性垄断影响研究 Research on the economic monopoly impacts of the foreign capital mergers and acquisitions based on the Chinese beverage industry 作 者：薛楠、张海薇、任尚华、李蒙、赵倩倩 专 业：工商管理、市场营销 报告时间：2009年3月15日 指导教师：周建 教授 摘 要 20世纪90年代以来，全球跨国并购逐渐取代了“绿地投资”而成为跨国公司对外进行直接投资的主要形式。改革开放以来，我国利用外资的深度和广度不断加强。外国资本进入我国的模式也随着我国改革开放的深入而发展变化。自上世纪90年代以来，外国资本逐渐并购我国企业，尤其是以并购重点龙头企业为主的模式进入我国经济的重点行业。在此过程中，一方面我国企业获得自身发展所需的资金、技术、管理经验等；另一方面，外资并购国内企业也引起了许多问题，尤其是外资并购国内重点企业和行业带来的垄断问题。外资并购带来的国有资产流失问题，以及民族产业、民族品牌受到冲击等问题。这些问题的出现对我国的国家经济安全带来深远影响。 本研究第一部分介绍了外资并购的相关理论知识，如西方公司并购动机理论及跨国并购相关理论。第二部分介绍了在中国外资并购的发展概况及特点，重点讲述了中国饮料行业的外资并购情况。第三部分以达能为案例，分析了达能并购中国饮料行业中的企业后对被并购企业利益相关方的影响。最后一部分分析总结了外资并购对我国行业所产生的负面影响，特别是经济性垄断影响，并在本文的最后针对这些影响提出了一些应对措施。 关键词：外资并购，经济性垄断影响，饮料行业 Abstract Since 1990s, transnational corporations’ Mergers and Acquisitions (MA) substitutes greenfield invest becoming the main form of foreign direct invest of transnational corporations， With the development of reform and openness, depth and extent of our country making use of foreign capital is becoming more stronger， Patterns of foreign capital entering in China have developed and changed with the development of reform and opennes， Since 1990sforeign capital gradually merge and acquire domestic enterprise, especially taking Mergers and Acquisitions Key enterprise as main pattern to enter our country economics， In this rocess, on one hand domestic enterprise acquire funds, technology, managerial experience what they need， On the other hand foreign capital Mergers and Acquisitions domestic enterprise arouses some problem, especially monopoly problem of key enterprise and industry and drain of state-owned assets， Thirdly ation estate and nation brand suffer impingement， These problems bring far-reaching effect to the economic security of the country， In consequence, we should make an assay of existing state of foreign capita Mergers and Acquisitions domestic enterprise and research its development trend and strategy and
