我国商业银行破产法律问题的研究 [摘要] 商业银行在市场经济中承载着特殊的职能，但也有着一般企业的共性。在对 商业银行适用破产制度，以维持市场优胜劣汰的基本法则的问题上，学者们已形成共识。 在国际上，由于各自的国情，各国的商业银行破产的具体法律制度存在一定差异。我国至 今尚未建立系统的商业银行破产制度，缺乏针对商业银行特殊性而制定的特殊破产规则。 商业银行破产法律制度的建立并不仅仅是为了完成银行的破产清算，其更大的职能是确定 规则、规避风险、最大程度地保障金融市场的稳定繁荣。由于法律制度的建立必须扎根于 经济、政治、文化的基础上，制度的简单移植往往不尽如人意。因此，基于我国具体的国 情，建立相适应的商业银行破产法律制度迫在眉睫。其中，破产原因，存款保险，破产立 法模式是三个重点问题。在完善我国破产法律制度的过程，应借鉴英美法三国的经验，建 立监管性破产原因规范，行政司法分阶段主导的破产立法模式，而存款保险制度由于时机 尚不成熟，建议暂时不在我国实施。 [关键词] 商业银行破产；破产界定；存款保险；破产立法模式；制度构建 I Research on Legal Issues about Bankruptcy Of Chinese Commercial Bank [Abstract] Commercial bank serves as the special role in market-oriented economy, but it has the same nature with the other enterprises. Most the scholars have reached a consensus that owing to the basic rule “survival of the fittest”, the legal system of bankruptcy must be applied to commercial bank. At the international level, due to their respective national conditions, there are some specific differences in the legal system of commercial bank bankruptcy. China has not established the system of bankruptcy of commercial bank up to the present and shows a lack of specific rules in connection with the specificity of commercial bank. Constructing the system of the system of bankruptcy of commercial bank not only resolves bank liquidation, but also defines the rules of bank operation, avoids the risks and ensures the stability of financial market. Effects of cloning overseas institution are no ideal usually because constructing law system must be based on political, economical and cultural background. Hence it is necessary to form the legal bankruptcy of commercial bank in accordance with our specific condition.
