学 号__ 密 级________________ 哈尔滨工程大学本科生毕业论文 企业海外并购文化风险管理研究 院（系）名 称：经济管理学院 专 业 名 称：国际经济与贸易 学 生 姓 名：XXX 指 导 教 师：XXX 副教授 2011年5月  哈尔滨工程大学本科生毕业论文 企业海外并购文化风险管理研究 院 （系）：经济管理学院 专 业：国际经济与贸易 学 号：9S012008012116 学 生 姓 名：XXX 指 导 教 师：XXX 副教授 2011年5月摘 要 进入21世纪以来，海外并购是当代世界经济发展的重要特征，即使在金融危机背景下，全球的海外并购额依然处于历史高位。随着中国改革开放事业的不断发展，中国企业的竞争力日益增强，“走出去”的步伐也在加快，同时，中国企业海外投资和并购也日渐增长。然而，并购中的文化风险是中国企业海外并购必然要面对的挑战，文化风险管理成为中国企业海外并购的关键。 本文通过对企业海外并购活动的大量调查研究，运用基础理论知识，从环境层、跨组织层、组织层和经营层分析了海外并购可能遭遇的文化风险，构建了海外并购企业文化风险评价指标体系，采用德尔菲法、模糊综合评价法对各项指标、各层次指标的风险程度进行了评价，为风险要素的管理和文化整合模式的选取提供科学依据。以上汽并购双龙为例，分析了双方的并购动机、国家层面和跨组织层面的文化差异，结合实际分析了上汽并购双龙的文化风险、文化整合的模式、内容和策略，为我国企业实施海外并购文化风险管理提供理论指导和方法。 关键词：海外并购；文化风险；风险管理 ABSTRACT In the 21st century, outbound M A is an important contemporary feature of world economic development, even in the context of the financial crisis, the amount of outbound M A around the world is still at historically high levels. With the continuous development of reform and opening up, the competitiveness of Chinas enterprises increase, and the pace of Going out is also accelerating. Meanwhile, foreign investment and M A of Chinese enterprises are also growing. However, the risk of culture in outbound M A of Chinese enterprises is bound to be faced. The management of cultural risk becomes the key to the outbound M A of China. Based on the large number of corporate M A activity overseas research, using basic theory, analysis the cultural risk of outbound M A may be encountered from the environment level, cross-organizational level, organization level and management level. And construct the outbound M A risk evaluation index system of enterprise culture, using the Delphi method and FUZZY COMPLEX to evaluate the degree of risk indicators at all levels.
