华侨大学 硕士学位论文 论买卖合同中物之瑕疵担保责任——以性质研究为中心 姓名：魏瑞华 申请学位级别：硕士 专业：法学 民商法学 指导教师：李强 中文摘要 中文摘要 源于罗马市政官法上的物之瑕疵担保责任是专门为保护买受人 利益而设的一项制度。由于当时罗马社会奉行 “买者自慎”的格言， 导致了买受人期待无瑕疵之物的权益往往得不到保障，因此物之瑕疵 担保责任制度的创设在当时的历史背景下发挥了重要作用。这一制度 后来被大陆法系国家的立法继受、完善和发展，其中以德国最具代表 性。然而，在物之瑕疵担保责任制度的发展过程中，人们就该制度进 行了许多理论上的争论，这些争论主要涉及到：物之瑕疵担保责任的 适用范围和性质、其与违约责任的关系、以及其是否有存在的必要性。 然而，引发这些争论的根本原因就在于，学者们对物之瑕疵担保责任 的性质没有一个精确统一的定位。因此，我们有必要在分析这些争论 的基础上对物之瑕疵担保责任的性质加以明确。此外，随着 2002 年 德国债法改革废除了物之瑕疵担保责任，很多人提出在日益关注保护 消费者权益的今天，物之瑕疵担保责任仍有其存在的价值。然而，即 使在消费者权益保护日益迫切的今天，物之瑕疵担保责任也已经完成 了它的历史使命，它的缺失并不会影响对消费者权益的保护。 通过比较分析大陆法系国家和英美法系国家在物之瑕疵担保责 任方面的规定，并结合我国《合同法》的相关规定，我们可以看出， 我国关于物之瑕疵担保责任的规定在总体上是比较先进和成功的。当 然，其中还存在一些因法律语言的模糊而形成的法律漏洞，对此我们 第 1 页 中文摘要 可以运用法律解释的方法加以弥补，而且这也有利于维护法律的稳定 性和明确性。  【关键词】 物之瑕疵担保责任 不适当履行 第 2 页  债务不履行责任  瑕疵给付 英文摘要 Abstract The warranty liabilities for detect was originated from roman’s aedilis curulis law,it was established specially for protecting the buyer’s benefits in sales.In early Roman,the buyer’s interest usually wasn’t under protection,because temporal Roman pursued “caveat emptor”,so this regime played a lead role in business in Roman’s day.Then it was inherited 、 perfected and developed by the country of civil law  system,meanwhile  Germany  is  the  most  tipical  country.In  development,people argued about many problems of the warranty liabilities for detect continually,these controversies were focused on the scope for the regime、the nature of the regime、the relation between the warranty liabilities for detect and the liabilities for breach of contract,and the regime has necessity of being existent or not .These controversies is caused by the nature of the warranty liabilities for detect, which is ambiguous.So we need to define the nature of the warranty liabilities for detect on the base of above controversies.In addition, Germany reformed its law of obligation in 2002, although it abolished the warranty liabilities for detect,nowadays more and more people consider that the warranty liabi
